Welcome to Beijing Jinle Huizhi Human Resources Co., Ltd ("Jinle Huizhi," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website (jinlehuizhi.com), mobile application ("App"), and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services. Your access to and use of the Services is also governed by our Privacy Policy.

1. Acceptance of Terms

By creating an account, downloading, installing, or using our Services, you acknowledge that you:

Jinle Huizhi provides comprehensive human resources services including, but not limited to:

• HR Services: Human resources management consulting and support services (excluding job agencies and labor dispatch as per regulatory requirements)
• Labor Outsourcing: Workforce management and labor outsourcing solutions
• Salary Management: Payroll processing, compensation management, and related administrative services
• Enterprise Consulting: Business management and organizational consulting services
• Exhibition & Training: Professional exhibition services and training program development
• Office Supplies: Procurement and supply of office equipment and supplies
• Mobile Application: Our HR management mobile app providing real-time employee data access, payroll processing, attendance tracking, and other HR functions

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Using a strong, unique password and enabling two-factor authentication when available

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

4. Acceptable Use

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others
• Upload or transmit viruses, malware, or other malicious code

• Downloading or copying account information for the benefit of another party

5.3 User Content

You retain ownership of any content, data, or materials you submit to the Services ("User Content"). 5.4 Feedback

Any suggestions, ideas, enhancement requests, or feedback provided by you regarding the Services shall become our exclusive property, and you hereby assign all rights in such feedback to us.

6. Mobile Application Terms

6.1 App License

We grant you a limited, non-exclusive, non-transferable license to install and use the App on devices you own or control, solely for your personal, non-commercial use, subject to these Terms and any additional terms provided with the App.

6.2 App Updates

The App may automatically check for updates and download updates from time to time. By using the App, you consent to such automatic updates. We may require you to accept updates to continue using the App.

6.3 App Requirements

The App requires:

• Compatible mobile devices meeting minimum specifications
• Internet connectivity (Wi-Fi or mobile data)
• Acceptance of our Privacy Policy and these Terms
• Permissions as required for functionality (notifications, storage, network access)

6.4 Data Usage

Use of the App may consume data allowances. You are responsible for any data charges incurred while using the App.

The App may display advertisements from third-party ad networks and platforms. These advertisements are provided by third parties and are not endorsed or guaranteed by Jinle Huizhi.

• Splash Ads: Full-screen advertisements displayed during App launch

• Rewarded Video Ads: Voluntary video advertisements with in-app rewards
• Banner Ads: Rectangular advertisements at top or bottom of screen
• Native Ads: Advertisements designed to match App content style

7.4 Third-Party Links and Content

The Services may contain links to third-party websites, services, or resources. We are not responsible for the content, accuracy, or opinions expressed on such third-party sites.

8. Fees and Payment

8.1 Service Fees

Certain Services may be subject to fees. We will clearly display pricing before you incur any charges. All fees are exclusive of applicable taxes unless stated otherwise.

8.2 Payment Terms

Payment terms, methods, and billing cycles will be as specified at the time of purchase. You authorize us to charge the payment method you provide for all fees incurred.

8.3 Refunds

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• IMPLIED WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
• ACCURACY, COMPLETENESS, OR TIMELINESS OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE SERVICE
• FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

We do not warrant that the Services will meet your specific requirements or that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JINLE HUIZHI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
• DAMAGES RESULTING FROM THIRD-PARTY ADVERTISEMENTS OR CONTENT
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Jinle Huizhi and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content
• Any fraudulent or unlawful activity conducted through your account

13. Termination

13.1 Termination by You

You may terminate your account and stop using the Services at any time. To delete your account, contact us at support@jinlehuizhi.com.

13.2 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Prohibited or illegal activity
• Requests by law enforcement or government agencies
• Extended inactivity
• Technical difficulties
• Security concerns

13.3 Effects of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We may delete your account and data in accordance with our data retention policies
• All licenses granted to you under these Terms terminate
• Provisions that by their nature should survive termination shall survive

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will:

• Post the updated Terms with a new "Last Updated" date
• Provide notice of material changes through the Services or via email
• Give you reasonable opportunity to review changes

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through:

• Language: English or Chinese

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. International Compliance

16.1 General Compliance

The Services are designed for international use. You are responsible for complying with all applicable local, state, national, and international laws and regulations regarding your use of the Services.

16.2 European Union Users

For users in the European Union, these Terms are provided in accordance with EU consumer protection laws. You have the right to withdraw from distance contracts within 14 days, except where services have been fully performed with your consent.

16.3 Data Transfer

Your information may be transferred to and processed in countries outside your residence, including China and the United States. By using the Services, you consent to such international data transfers in accordance with our Privacy Policy.

16.4 Export Controls

You agree to comply with all applicable export control laws and regulations, including those of the United States and other jurisdictions.

17. Age Requirements

17.1 Minimum Age

You must be at least 13 years of age to use the Services. If you are under 18 (or the age of majority in your jurisdiction), you represent that you have obtained parental or guardian consent to use the Services.

18. App Store Compliance

18.1 Google Play Store

Our App distributed through the Google Play Store is subject to Google's Developer Distribution Agreement and Program Policies. You acknowledge that Google has no obligation to provide any maintenance or support services for the App.

18.2 Apple App Store

Our App distributed through the Apple App Store is subject to Apple's App Store Review Guidelines and Terms of Service. You acknowledge that:

• Apple has no obligation to provide any maintenance or support services
• Apple is not responsible for addressing any claims relating to the App
• Apple has the right to enforce these Terms as a third-party beneficiary

18.3 App Store Reviews

You agree not to submit false reviews or engage in review manipulation. We reserve the right to take legal action against individuals or entities engaging in fake review practices.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Jinle Huizhi regarding your use of the Services.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

19.5 Notices

Notices shall be provided to you through the Services, email, or postal mail. You are responsible for keeping your contact information current.

19.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

19.7 Independent Contractors

The relationship between you and Jinle Huizhi is that of independent contractors, not partners, joint venturers, or employees.
